PurposePass Terms of Use

1. Acceptance and organization authority

By accessing or using PurposePass, you agree to these Terms and represent that you are legally able to do so. If you use PurposePass for an organization, you represent that you are authorized to act for that organization. Each authorized organizer or team member must use an individually assigned account and may not share credentials.

2. PurposePass service and access

PurposePass provides nonprofit event ticketing, fundraising, supporter, sponsor, volunteer, member-benefit, check-in, communications, optional newsletters, nonprofit verification, accounting exports, reporting and related platform functions. Access is limited to the organization, event, role, plan and features assigned to the user. PurposePass is provided as a hosted software service; no ownership of the platform software is transferred.

3. Organization responsibilities

• Maintain accurate organization, event, contact and payment-provider information.
• Use member rosters, supporter data, volunteer information and sponsor records only with appropriate authority and notices.
• Configure team roles so users receive only the access required for their work.
• Comply with applicable ticketing, fundraising, charitable solicitation, tax, refund, accessibility, privacy and consumer-protection obligations applicable to the organization.
• Review financial exports and accounting mappings with the organization’s qualified bookkeeping/accounting personnel before importing them into a financial system.

4. Ticket payments, PurposePass fees and third-party providers

Ticket proceeds are processed by the payment provider selected by the nonprofit organization. Provider charges, optional contributions and payment terms are determined by that provider. PurposePass ticket/platform fees are separate and are governed by the applicable PurposePass plan, pricing catalog, order or agreement.

When Zeffy is the configured provider, PurposePass may explain that Zeffy can present an optional contribution at checkout and that the buyer can adjust it to $0. Any PurposePass fee shown before redirect is separate from a Zeffy contribution.

5. Guided demos and Customer Demo Workspaces

The public Guided Features Demo is informational. A Customer Demo Workspace is a temporary evaluation environment provisioned by Platform Admin, normally for 72 hours, and may contain simulated people, events, purchases, payments, emails, webhooks and reports. Demo transactions are not real financial transactions and demo data should not be treated as production records.

If a customer requests a live workspace, PurposePass creates a clean production workspace after required review. Approved configuration may be carried forward, but simulated attendees, orders, payments, donations, check-ins, communications, consent records and demo analytics are not transferred as production history.

6. Acceptable use

Users may not bypass tenant isolation or permissions, access another organization without authorization, interfere with service availability, introduce malicious code, misuse credentials, scrape or reverse engineer the service except where law provides a non-waivable right, or use PurposePass for unlawful, deceptive, infringing or privacy-invasive activity.

Organizations must not use public pages, event listings, page titles, descriptions, structured metadata, repetitive pages or other PurposePass features for deceptive search-engine manipulation, keyword stuffing, misleading event listings, impersonation, spam, cloaking, fake organizations, duplicate doorway pages or other conduct intended primarily to manipulate search rankings or mislead visitors.

7. Organization data and platform data

Organizations retain their rights in the data they submit. PurposePass may process that information to provide and secure the service, follow authorized instructions, support transactions and reporting, enforce entitlements, prevent abuse and satisfy legal obligations. Operational, diagnostic, security and usage metadata may be used to operate and improve the service, with aggregation or de-identification where appropriate for uses outside the direct customer relationship.

8. Search Visibility and Public Content

When an organization chooses to publish organization or event content and permits public search visibility, it authorizes PurposePass to host, display, format, resize, excerpt and create reasonable technical representations of that public content as needed to operate the service and make the published organization or event discoverable. This limited operational license includes generating page titles, descriptions, structured data, canonical URLs, XML sitemaps, social previews, image renditions, redirects and search-engine discovery notifications. The organization represents that it has the rights and permissions needed to publish the names, logos, event descriptions, ticket information, photographs, sponsor assets and other public materials it submits.

PurposePass may manage canonical URLs, redirects, structured data, indexing directives, sitemap inclusion and related technical SEO mechanisms to protect platform quality, prevent duplicate or private-content indexing, and support accurate discovery. PurposePass does not guarantee that Google, Bing or any other search engine or discovery service will crawl, index, rank, cache, display, retain or remove any particular page, rich result, snippet or public content; search placement, traffic and continued visibility are controlled by independent third parties.

If a public page is removed, changed or marked noindex, PurposePass can update its own pages and discovery signals, but third-party search engines, social networks and caches may retain prior copies or previews until their systems refresh.

9. Third-party services

PurposePass may integrate with payment processors, identity providers, email services, accounting tools, search/discovery providers and other third-party services. Those services are governed by their own terms. PurposePass is responsible for its own obligations while data is under PurposePass control, but does not control independent third-party availability, pricing, policies, accessibility, indexing behavior, ranking decisions or caching.

10. Intellectual property and branding

PurposePass software, workflows, reusable components, design system, documentation and branding remain proprietary to CollabLynx and its licensors. Organizations retain rights in their own names, logos, event content and data. PurposePass will not use an organization’s name or logo in unrelated public marketing without authorization beyond the organization-controlled public pages, search/discovery representations and event experiences the organization chooses to publish.

11. Service operation, suspension and termination

PurposePass may update features, security controls, interfaces and integrations. Maintenance, third-party outages, security events or legal requirements may temporarily affect availability. Access may be restricted when reasonably necessary for material nonpayment, security risk, suspected compromise, unlawful activity, credential sharing, or material breach. Where practical and not urgent, PurposePass will provide notice and an opportunity to resolve the issue.

On expiration or termination, customers remain responsible for accrued charges and should export information they need where export functionality is available. Data retention, deletion and transition remain subject to the applicable agreement, Privacy Policy, transaction/audit obligations and legal requirements.

12. Fees, renewals, taxes, cancellations and refunds

PurposePass plan charges, Event Pro charges, ticket/platform fees, renewal terms, cancellation rights and any refunds are governed by the applicable pricing presentation, order, agreement and checkout disclosures. Organizations are responsible for taxes and regulatory obligations applicable to their own ticketing, fundraising and charitable activities. Payment-provider charges or optional contributions are governed by the selected provider.

13. Free services, Guided Demo and Customer Demo Workspace

Free services and evaluation features may be changed or discontinued and may have different support or commercial terms than paid generally available services. Customer Demo Workspaces are temporary and use simulated data and transactions. A demo does not automatically become a paid workspace or authorize a charge; live activation requires the applicable verification, agreement and commercial acceptance.

14. Warranties, disclaimers and professional decisions

PurposePass provides software tools and does not provide legal, tax, accounting, fundraising-compliance or financial advice. Reports and exports should be reviewed by qualified personnel before filing, importing or relying on them for regulated decisions. Except for express commitments in an applicable signed agreement and rights that cannot lawfully be disclaimed, services are provided on an as-available basis and may be affected by internet, provider or integration failures outside PurposePass control.

15. Liability and remedies

To the fullest extent permitted by applicable law, neither party should be responsible for indirect, incidental, special, punitive or consequential damages arising solely from use of the service. Any negotiated liability cap, indemnity, service-level remedy or other allocation of commercial risk in a signed agreement or order controls for that customer. Nothing in these Terms limits liability that applicable law does not permit to be limited.

16. Compliance and lawful use

Each party is responsible for laws applicable to its own activities. Organizations must not use PurposePass to facilitate unlawful ticketing, fundraising, sanctions-prohibited activity, fraud, privacy violations or infringement. Organizations using Newsletters & Supporter Updates are responsible for lawful audience collection, required notices and consent, accurate sender identity, and honoring unsubscribe/suppression requirements. PurposePass may restrict activity when required to comply with valid legal process or binding legal requirements.

17. Governing terms and disputes

If a signed agreement or order specifies governing law, venue, arbitration or another dispute process, that provision controls. Otherwise, governing law and forum are determined under otherwise applicable law. Nothing prevents either party from seeking appropriate temporary or equitable relief to protect security, confidential information, intellectual property or access credentials.

18. Changes to these Terms

These Terms may be updated prospectively as PurposePass, laws and business practices change. Material changes affecting paid services will receive reasonable notice when required. A change to these public Terms does not retroactively authorize materially broader use of previously collected personal information when consent, notice or a controlling agreement requires otherwise.

19. Notices and contact

Customers are responsible for keeping administrator, billing and legal contacts current. Questions about these Terms can be submitted through the protected PurposePass contact form. A signed agreement, order, privacy/data-processing addendum or other subject-specific written agreement controls where it expressly differs from these public Terms.
